第三，企业经营是否合法合规。合法合规涉及企业的方方面面，这要求企业和主要股东至少在申报上市材料覆盖的前三年内，都是清清白白的，比如没有受到司法机关、行政机关的处罚、没有欠别人的钱到期不还、没有重要诉讼和仲裁等情况。同时，企业从诞生之日起，股权历史沿革也不能存在瑕疵。这需要保荐券商对企业的历史沿革、经营管理、资产产权、诉讼仲裁等情况进行全面细致的核查，必要时还需要协调相关行政主管部门出具无违规证明。
