第三，企業經營是否合法合規。合法合規涉及企業的方方面面，這要求企業和主要股東至少在申報上市材料覆蓋的前三年內，都是清清白白的，比如沒有受到司法機關、行政機關的處罰、沒有欠別人的錢到期不還、沒有重要訴訟和仲裁等情況。同時，企業從誕生之日起，股權歷史沿革也不能存在瑕疵。這需要保薦券商對企業的歷史沿革、經營管理、資產產權、訴訟仲裁等情況進行全面細致的核查，必要時還需要協調相關行政主管部門出具無違規證明。
